These Terms and Conditions are the standard terms for the provision of services by Education Analytics and Training Limited, a company incorporated in England and Wales (Company Number 13328562) with its registered office at EAL STAR C/O 11 Bridge Street, Bury, Greater Manchester, England, BL0 9AB
Education Analytics and Training Limited supplies digital education analytics and training services remotely to customers in Australia via its online platforms.
1.1 In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:
“Business Day” means any day other than a Saturday, Sunday or public holiday in the relevant Australian state or territory;
“Calendar Day” means any day of the year;
“Contract” means this contract for the provision of Goods and Services, as explained in Clause 3;
“Deposit” means an advance payment made to Us for Goods or Services;
“Goods” means products that We offer for purchase by you;
“GST” means goods and services tax as defined under A New Tax System (Goods and Services Tax) Act 1999 (Cth);
“Month” means a calendar month;
“Price” means the price payable for the Services;
“Services” means the services which are to be provided by Us to you as specified in your Order (and confirmed in Our Order Confirmation);
“Special Price” means a special offer price payable for Services which We may offer from time to time;
“Order” means your order for the Goods or Services;
“Order Confirmation” means Our acceptance and confirmation of your Order as described in Clause 3;
“We / Us / Our” means Education Analytics and Training Limited; and
“Website” means any website operated by Us and to which we may provide you access under these Terms and Conditions, including:

1.2 References to “writing” include electronic communications.

2.2 The Company provides digital education analytics and training services to Australian schools and education providers via online platforms.
3.1 These Terms and Conditions govern the sale and provision of Goods and Services by Us and form the basis of the Contract between Us and you.
3.2 Your Order constitutes an offer which We may accept or reject at Our discretion.
3.3 A legally binding Contract is formed upon issuance of an Order Confirmation.
3.4 Prior to Contract formation, We will make available all information required under Australian Consumer Law, including:
the characteristics of the Goods and Services
Our identity and contact details
pricing and payment arrangements
service commencement and duration
termination rights
digital content functionality and compatibility
4.1 All Orders are subject to these Terms and Conditions.
4.2 Orders may be amended prior to service commencement by contacting Us.
4.3 Any changes affecting Price will be confirmed in writing.
5.1 Prices are as displayed on the Websites at the time of Order.
5.2 Special Prices apply only for the stated promotional period.
5.3 Accepted Orders are not affected by later price changes.
5.4 Unless stated otherwise, all Prices are exclusive of GST.
At the time of publication of these Terms, We are not registered for GST as We do not meet the applicable registration threshold.
If GST becomes applicable in the future, We will notify you and apply GST in accordance with Australian law.
5.5 Trial access is provided for two weeks. If you do not proceed, access and stored data may be removed.
5.6 Invoice payments are due within 30 days. Online payments are processed via Stripe and renew automatically unless cancelled.
5.7 Accepted payment methods include:
Bank transfer
Credit or debit card
5.8 Late payments may incur a 10% fee and service suspension.
6.1 Services will be provided with due care and skill in accordance with Australian Consumer Law and generally accepted education sector standards.
6.2 Services commence on the date confirmed or upon payment for online services.
6.3 You must provide accurate and timely information required for service delivery.
6.4 Login credentials must remain confidential.
6.5 We are not responsible for delays caused by incomplete or incorrect information supplied by you.
6.6 Services may be suspended where required information or payment is outstanding.
6.7 Temporary suspension may occur due to technical or maintenance issues.
6.8 Payment obligations continue during temporary suspension.
6.9 Non-payment may result in suspension until arrears are cleared.
7.1 Licences are granted per individual school or education provider only.
7.2 All intellectual property remains Our property and must not be reproduced, distributed, or reused outside the licensed school.
7.3 You are responsible for password security.
7.4 Website materials may be downloaded for internal educational use only, subject to copyright notices.
7.5 All rights not expressly granted are reserved.
7.6 Uploaded content may be removed at Our discretion. You indemnify Us against third-party claims arising from uploaded content.
8.1 Personal information is governed by Our Privacy Policy.
8.2 Uploaded content may be edited or removed.
8.3 Prohibited conduct includes unlawful, offensive, or harmful material.
8.4 Website misuse is prohibited.
8.5 We may cooperate with Australian law enforcement authorities.
9.1 Please notify Us promptly of any issues.
9.2 We will use reasonable efforts to remedy issues.
9.3 No charge applies where faults are Our responsibility.
10.1 We are liable for foreseeable loss caused by breach or negligence.
10.2 We are not liable for indirect or consequential business losses.
10.3 Nothing excludes liability for death, personal injury, fraud, or statutory consumer guarantees.
10.4 Services are supplied in accordance with Australian Consumer Law.
10.5 Your statutory rights under Australian Consumer Law cannot be excluded.
10.6 To the extent permitted by the Australian Consumer Law, Our liability for any failure to comply with a consumer guarantee is limited, at Our option, to:
10.6.1 resupplying the Services; or
10.6.2 paying the cost of having the Services resupplied.
11.1 We are not liable for delays caused by events beyond Our reasonable control.
11.2 Obligations are suspended during such events and timelines extended.
12.1 Online subscriptions may be cancelled at any time. Refunds are available if cancellation occurs within 14 days of commencement.
12.2 We may cancel for breach or non-payment with appropriate notice.

15.3 For customers using the Australian version of Our platform, all customer data and personal information is hosted and stored on servers located in Australia.
16.1 We may assign this Contract with notice.
16.2 You may not assign without consent.
16.3 No third-party rights apply.
16.4 Invalid provisions are severable.
16.5 Waivers must be in writing.
16.6 Terms may be amended by publication on the Website.
17.1 These Terms and Conditions are governed by the laws of Australia.
17.2 Nothing limits your rights under Australian Consumer Law.
17.3 The courts of Australia have exclusive jurisdiction.
